1. About these terms

These terms and conditions ("Terms") govern your use of the Green Path website and platform ("Service"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, please do not use the Service. Green Path ("we", "us", "our") is a UK-based provider of a supplier sustainability maturity assessment platform for procurement teams.

2. Eligibility and accounts

You must be at least 18 years old and authorised to act on behalf of your organisation to create an account. You are responsible for keeping your login credentials secure and for all activity carried out under your account. Notify us promptly of any suspected unauthorised access.

3. Subscriptions and payment

Paid plans are billed in advance on a recurring basis at the price shown at sign-up. All prices are in GBP and exclusive of VAT. You may cancel at any time; cancellation takes effect at the end of the current billing period and fees already paid are non-refundable except where required by law.

4. Acceptable use

You agree not to:

  • Use the Service in breach of any applicable law or regulation.
  • Upload content that is unlawful, infringing, harmful, or misleading.
  • Attempt to gain unauthorised access to the Service or its data.
  • Reverse engineer, scrape, or resell any part of the Service.
  • Interfere with the security or operation of the Service.

5. Your content

You retain ownership of the data, answers, evidence and files you or your suppliers upload ("Customer Content"). You grant us a worldwide, royalty-free licence to host, process and display that content solely to provide and improve the Service. You are responsible for ensuring you have the rights to upload the Customer Content and that it is accurate.

6. Our intellectual property

The Service, including its scoring methodology, software, branding and documentation, is owned by Green Path and protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Service in accordance with these Terms for the duration of your subscription.

7. Availability and changes

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may update, modify or discontinue features from time to time. We will give reasonable notice of material changes that affect your use of the Service.

8. Disclaimers

The Service provides a readiness and maturity assessment tool. It is not legal, regulatory or financial advice and does not constitute a statutory sustainability filing. Sustainability scores and action plans are indicative and based on information provided by users. To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind.

9. Limitation of liability

Nothing in these Terms limits liability that cannot be limited under applicable law (such as for death or personal injury caused by negligence, or fraud). Subject to that, our total aggregate liability arising out of or in connection with the Service is limited to the fees paid by you in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or loss-of-profit damages.

10. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us or other users. You may terminate at any time by cancelling your subscription. On termination, your right to use the Service ends and we may delete Customer Content in accordance with our retention practices.

11. Privacy

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.

12. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
